Industry consolidation continues (II)

Fidelity National Information Services Inc. has agreed to acquire Worldpay Inc. for about $35 billion in cash and stock, creating a global payments giant in a bid to reach more customers as merchants and their clients complete an increasing number of transactions online.

The deal marks one of the biggest transactions in the fast-consolidating payments sector that is under pressure to cut costs, develop new products and add customers. It comes at a time of greater regulatory scrutiny and rising competition from disruptive newcomers.

This is barely eighteen months since the then Britain-based Worldpay was itself acquired by Vantiv for $10.4 billion, in a deal adopting the Worldpay monicker for the combined company.

Industry consolidation continues

It wasn’t that long ago that Hypercom was acquired by long-term rival Verifone. The $485 million was deal finalised in 2011, bringing Verifone closer to a showdown with France-based Ingenico, as the two leading manufacturers of stand-alone POS terminals.

Here we are in 2017, and Britain-based Worldpay is now getting acquired by Vantiv for $10.4 billion. Vantiv has been on an acquisition spree, having acquired Paymetric, Moneris Solutions, Mercury Payment Systems and Element Payment Systems over the past five years alone.

The combined company will retain the Worldpay name and will process some $1.5 trillion in payments and 40 billion transactions through more than 300 payment methods in 146 countries and 126 currencies, with a combined net revenue of over $3.2 billion.

China Tech Firms Seek Tools from Malta-based 3amSystems

Following initial contact by telecom chip supplier CML Microcircuits in Hong Kong, a number of mainland Chinese technology firms approached local start-up 3amSystems to adopt its LineScope diagnostic tool. These companies are H3C, Zhejiang Kinstar and Jiangsu SEUIC. Now wholly owned by HP, H3C started out as a joint venture between networking equipment pioneers Huawei and 3Com, while Kinstar and SEUIC are manufacturers that, among other things, make card payment terminals.

3amSystems is an innovative technology start-up based in Malta. Founded by local and US industry veterans, the company provides niche product development services, with core expertise in telecoms, embedded systems and technical software development. Its LineScope product is today an industry standard tool in the payment terminal sector. Originally conceived as an experimental undergraduate project related to obsolete modems, the innovative take on diagnostic features, coupled with the fact that supposedly obsolete modems are still around and causing headaches on both legacy and emerging infrastructures, all pointed to an untapped opportunity. Founder Brian Cauchi was eventually awarded a WIPO Gold Medal for Best Inventor for his work, the first ever to be awarded to a Maltese national in the category.

Rather unusually for a 'made in Malta' product, LineScope was also employed in a patent litigation case in the USA to disprove infringement allegations. Ten companies, including big names such as AOL, Canon and HP, were sued for allegedly infringing patents related to dial-up modem technology. Expert witness for DIRECTV, one of the defendants, used LineScope to assert non‑infringement defences. Acting on compelling evidence, the judge threw the case out, ending the case that had been filed just eight months earlier. Kirkland and Ellis were defence counsel. Source: Times of Malta

3am founder awarded WIPO Gold Medal for Best Inventor

3am founder Brian Cauchi was awarded the Malta/WIPO Gold Medal for Best Inventor for his work on Communications Analyzers.

The work was commercialized as 3am LineScope and the product has since been adopted by payment terminal OEMs, product integrators and certification labs worldwide. It was also employed in a high-profile patent litigation case in the US to disprove infringement allegations.

Just over a year earlier, Mr. Cauchi was a recipient of the "Ericsson awards of excellence in telecommunications" in recognition of his undergraduate work on wireline diagnostic tools. Mr. Cauchi is presently a director at 3amSystems, a technology start-up based in Malta. Sources: 1 2 3

Malta link in dismissal of U.S. patent infringement lawsuit

In October'08, Rembrandt Data Technologies LP sued several companies for allegedly infringing patents related to dial-up modem technology. Expert witness for DIRECTV Inc, one of the targeted companies, used 3am LineScope to assert non-infringement defenses. Acting on compelling evidence, the judge threw the case out, ending the case that had been filed just eight months earlier. Kirkland and Ellis LLP were defense counsel.

The case "Rembrandt Data Technologies, LP v. DIRECTV, Inc. et al. (E.D. Va.) Case No. 08-1009" concerned allegations of infringement of four patents relating to dial-up modem technology by satellite television set-top boxes. After plaintiff dropped two of the four patents, defense counsel obtained a complete victory on the remaining two patents, including summary judgments in their client's favor of (1) non-infringement of both patents as to all asserted claims and all accused products, (2) summary judgment of invalidity of all asserted claims in one of the two remaining patents, and (3) summary judgment that our client's products are already licensed through their suppliers' licenses to the asserted patents. 3am features in top VoIP websites

The 3amSystems website continues to grow in popularity thanks to upbeat coverage on leading VoIP websites, hot on the heels of referrals from VoIP message boards such as Cisco's NetPro, TrixBox and Voxilla. In July, 3amSystems featured on spanish language website VoIP Exchange. Then in October, it featured on the immensely popular TMCnet website, courtesy of Tom Keating's 'VoIP and Gadgets blog'.
